OLI Rising Stars Contest

Official Rules

NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.
 

1. CONTEST PERIOD

The Annual Showcase Contest (the “Contest”) is sponsored and run by Outside Looking In, located at 100 University Avenue Floor 5, Toronto ON M5J 1V6 (the “Sponsor” or “OLI”). The contest starts at 12:01 a.m. Eastern Time (“ET”) on November 7, 2022 and ends at 11:59 p.m. ET on December 15, 2022 (the “Contest Period”).

By participating in this Contest, you agree that you: a) have read and understand these official rules (the “Rules”); b) meet the Contest eligibility requirements; c) agree to be legally bound by the Rules; and d) agree to comply with, and abide by, the Rules and the decisions of the Sponsor (defined below) whose decisions shall be final and binding.

2. ELIGIBILITY

To enter the Contest and to be eligible to win the Prizes (as defined in Section 3 below), an individual must be a legal resident of any of the provinces or territories of Canada, be between the ages of 15 and 29 at the time of entry and identify as an Indigenous person. An individual must have an Indigenous status and must be able to confirm their Indigenous status by providing a copy of their Indigenous status card or a letter from a Chief in Council attesting to their Indigenous status.

The Contest is not open to employees, representatives, mandataries, and agents of the Sponsor, its affiliates and related companies, or its advertising or promotional agencies, prize suppliers, any other entity involved in the development, production, administration, or fulfillment of the Contest (each a “Sponsor’s representative”), or a member of any Sponsor’s representative’s immediate family (wherever they live) or an individual who lives with any Sponsor’s representative (whether related or not). In these Rules, “immediate family” includes parent, partner, spouse, sibling, or child. The Contest is subject to all applicable federal, provincial, and municipal laws and regulations. Participation constitutes a participant’s full and unconditional agreement to be legally bound by these Rules and the Sponsor’s (and its representatives’) decisions, which are final and binding in all matters related to the Contest.

NOTE TO MINORS: Entrants who are under the age of majority in their province or territory at the time of submitting a Video entry (as defined in Section 4 below) to the Contest must have the permission/approval of their parent or legal guardian to submit a Video entry and participate in this Contest. The Sponsors reserve the right, in its sole and absolute discretion, on a random audit basis to contact the minor’s parent/legal guardian for the purposes of verifying their: (i) agreement to be legally bound by these Rules; (ii) consent to the minor’s participation in this Contest; and/or (iii) consent to the collection of the minor’s personal information if they are under the age of majority in their province of territory at the time of submitting a Video entry. Failure of the minor’s parent/legal guardian to complete any of the steps noted above to the satisfaction of the Sponsor may, in its sole and absolute discretion, result in disqualification of the minor and of their Video entry. 

3. PRIZES

As part of the Contest, there is one (1) prize (the “Prize”) available to be won consisting of ground transportation in Toronto to the selected accommodation and back to the airport,  meals and accommodation for two (2) weeks (the “Prize Period”) at a location chosen by the Sponsor in its sole discretion) and the opportunity to perform at the 16th Annual Showcase held by OLI at Meridian Hall on May 11th and 12th 2023. Ground transportation to and from the airport is included.

If the selected winner is under the age of majority in their province or territory, the winner’s parent or legal guardian will be responsible for all costs incurred, including transportation to and from Toronto and baggage fees. The Sponsor will be responsible for costs associated with ground transportation in Toronto to the selected accommodation and back to the airport, meals and accommodation for two (2) weeks at a location as chosen by the Sponsor for the parent or legal guardian. Three (3) meals per day will be provided by the Sponsor during the Prize Period for the winner and, if applicable, their parent or legal guardian.

If the selected participant is confirmed as a winner and is under the age of majority in their province or territory, the Prize will be awarded in the name of their parent or legal guardian who must execute the Declaration and Release Form (see Section 6 below for more information) on the minor winner’s behalf.

The Prize will be awarded only to a selected participant who has been confirmed as a winner, as described below. The Sponsor may disqualify any winner who fails to respond to the prize notification or fails to return the Declaration and Release Form within the seven (7)-day period provided in Section 6 below and, at the Sponsor’s sole discretion, select an alternate winner. If any Prize or Prize notification is returned as undeliverable, a winner declines his or her Prize, or a winner fails to comply with any of these Rules, that winner will be disqualified and another entrant with be chosen by the Sponsor.

The following additional conditions apply to the Prize:

  • a) costs and expenses, other than those expressly mentioned above, are the sole responsibility of the winner or their parent or legal guardian, if the winner is a minor, including, but not limited to, , insurance, taxes, meals and beverages other than those specifically provided, gratuities, personal expenses such as telephone/Internet charges, and gift shop purchases, activities and the required travel documents, personal toiletries;

  • b) the trip must be taken on the date determined and set by the Sponsor, and the winner (and their parent or legal guardian if the winner is a minor) must be available on the dates offered or specified by the Sponsor, all dates being subject to change at the Sponsor’s sole discretion;

  • c) if the winner is a minor, their parent or legal guardian must travel together;

  • d) the Sponsor is not responsible if the winner (and their parent or legal guardian if the winner is a minor) is denied the ability to fly out of or into any particular airport, whether due to airport restrictions, lack of require travel documents or otherwise;

  • e) the Sponsor will not replace any lost or stolen tickets, travel vouchers or prepaid cards; and

  • f) all federal, provincial, state, municipal and local taxes on the prize value, if applicable, are the sole responsibility of the winner (or their parent or legal guardian if the winner is a minor).

The total approximate retail value of the Prize is $2,000.00 CAD. The actual value of the Prize may vary based upon the location of accommodations selected.

The Prize must be accepted as awarded, without substitution, and is not transferable or convertible to cash and not for resale or exchange, except in the Sponsor’s sole discretion. The Sponsor reserves the right, in its sole discretion, to substitute another prize or component of the Prize (or cash equivalent) of equal or greater value without liability in the event that the Prize or any component of a prize cannot be awarded as described for any reason, subject to the approval of the Régie des alcools, des courses et des jeux (the “Régie”), where necessary.

In the event a selected winner (or if the winner is a minor, their parent or legal guardian) engages in behavior that, as determined by the Sponsor and in its sole discretion, is obnoxious or threatening, illegal, or that is intended to annoy, abuse, threaten or harass any other person, the Sponsor reserves the right to terminate the Prize in whole or in part, with no further compensation.

4. HOW TO ENTER

NO PURCHASE IS NECESSARY.

Depending on the entry format, Internet access or a valid email account may be required.

In order to enter the Contest, eligible participants must prepare a unique thirty (30) second video showcasing their dance skills (a “Video entry”) and submit the Video entry using one of the three options provided below in the “Video Submission” section. All Video entries are subject to verification by the Sponsor.

There is a limit of one (1) Video entry per eligible participant during the Contest Period.

Video Entry Requirements

In order to be eligible for entry into the Contest: (i) each entrant’s submitted Video entry must be unique, original to the entrant and must never have been previously published, exhibited publicly, or selected as a winner in any other contest or promotion; and (ii) each entrant must provide, upon request, all appropriate clearances, permissions, and releases for the Video entry they submit (in the event an entrant cannot provide all required releases, the Sponsors reserve the right, in their sole discretion, to disqualify the applicable participant, or seek to secure the releases and clearances for Sponsors’ benefit, or allow the applicable entrant to remain in the Contest). Any Video entry that, in the Sponsor’s good faith judgment, violates or otherwise does not comply with the Video entry requirements included in theses Rules will be disqualified. No substitutions of new versions of Video entries will be accepted under any circumstances once the original Video entry is submitted for consideration. Any Video entry that is considered by the Sponsors, in their sole and absolute discretion, to be obscene, pornographic, libelous, hate speech, or otherwise objectionable, in whole or in part, will be disqualified and will not be eligible for entry.

To be eligible for entry in the Contest, the Video entry must meet the following specific requirements. In addition, the entrant agrees to be bound by these Rules and by the interpretation of these Rules by the Sponsor, and further warrants and represents that the video conforms to the following requirements:

  • Video entries must not be longer than thirty (30) seconds and must be in one of the following video formats: MP4, AVI, MKV, MOV.

  • Video entries must be no larger than 250 megabytes and be 1920 by 1080 or 1280 by 720 pixels.

  • Video entries must not include anybody or any identifiable person other than the entrant, or include the name, image, or likeness of a public personality, living or dead.

  • Video entries must not contain obscene, illegal, offensive, defamatory, pornographic, trade libelous, threatening, or abusive material or content that could in any way be deemed reprehensible, inappropriate, unsuitable, unseemly, or insulting, as solely determined by the Sponsor, failing which the Sponsor reserves the right to remove the video and disqualify the entrant without further notice.

  • Music, images, photos, or quotations included in the Video entries must be free of copyright or other restrictions.

  • Video entries will not give rise to any claims of infringement, invasion of privacy or publicity, or infringe any rights, including intellectual property rights, and/or interests of any third party, or give rise to any claims for payment whatsoever. In the event that a third party makes any claims, entrant agrees to defend, hold harmless and indemnify the Sponsor and all shareholders, directors, officers, employees, members, representatives, mandataries and agents of the Sponsor and its affiliates and advertising and promotional agencies as well as their respective successors and assigns (collectively, the “Released Parties”) against any and all third-party claims arising from the entrant’s Video.

  • Video must not intentionally promote any brands, trademarks, or services, of any company, through such things as wearing clothes with logos on them or depicting posters or other graphics in the background.

  • Video entries must present an original arts and crafts idea. By entering the Contest, the entrant certifies that they have all necessary rights in and to the Video entry and that they are the exclusive copyright holder to the Video entry’s entire contents.

Video Entry Submission

During the Contest Period, eligible participants can choose from one of the three (3) following options to submit their Video entry to the Sponsor:

  1. Online. To enter online, participants must log onto the Contest website at: olishow.com/contest (the “Website”), fill in the required information in the online form provided, which, among other things, will require them to: (i) enter their first name, last name, mailing address, valid email address, telephone number and indicate their date of birth and (ii) accept and agree to be legally bound by the terms and conditions of these Rules. After completing the form, entrants may then upload their Video by following the instructions on the Website.
     

  2. Email. Participants may email their Video entry to contest@olishow.com, include “Annual Showcase Contest Video Entry” in the subject line and add the following information: (i) their first name, last name, mailing address, valid email address, telephone number and date of birth and (ii) a statement that they agree to be legally bound by the terms and conditions of these Rules. Any emails received as entries to this Contest that do not include the required subject line and information requested may be disregarded, rejected or automatically deleted, in the Sponsor’s sole discretion. If choosing this option, participants must ensure that their email and mailbox permits the sending of videos and that there is sufficient space in their mailbox for sending such videos in the size and quality of the Video entry.
     

  3. Mail:  Participants may send their Video entry on a USB flash drive key along with a letter including  (i) their first name, last name, mailing address, valid email address, telephone number and date of birth and (ii) a statement that they agree to be legally bound by the terms and conditions of these Rules. The USB must be unlocked and accessible without a password.
     

  4. The USB flash drive and accompanying letter must be mailed in an envelope with sufficient postage to: Outside Looking In, 100 University Avenue Floor 5, Toronto, Ontario, M5J 1V5, Attn: Tracee Smith. Costs of mailing and the USB flash drive shall be solely that of the entrants. No USBs will be returned.
     

  5. Once a Video entry is received by mail, participants will not be able to retrieve, change, remove, or exchange the submission.

Proof of submission does not constitute proof of receipt by the Sponsor. Use of automated devices is prohibited; automated entries (including but not limited to entries submitted using any robot, script, macro or other automated service) are not permitted and may result in disqualification. Contest entries become the sole and exclusive property of the Sponsor and will not be returned or acknowledged.

5. INTELLECTUAL PROPERTY

By participating in the Contest, an entrant agrees: (i) to grant the Sponsor a perpetual, irrevocable, assignable and transferable licence to copy, reproduce, display, broadcast, publish, distribute, edit, adapt, spin off, alter, translate, and otherwise use, in connection with the Contest, throughout the world and in perpetuity, all or a part of the Video entry in any media whatsoever whether currently known or still to come, including but not limited to, television, print and the Internet, and in attendant media relations, including but not limited to, promoting and advertising the Contest; and (ii) to waive all moral rights in and to the Video entry they submit as part of the Contest in favour of the Sponsor, without advance notice or compensation; (iii) to release and hold harmless the Released Parties against any and all claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trade mark infringement or any other intellectual property related cause of action;  (iv) that the Sponsor has the right, but not the obligation, to post the Video entry and/or the entrant’s name, age and city of residence, portrait, images, photographs, voice, video submission or other likeness, personal information, and comments, in whole or in part, as is or as may be edited, on the Website or any of the Sponsor’s websites, social media pages or forums and other promotional materials as selected by the Sponsor; and (v) that the licenses described above include the right (but not the obligation) for the Sponsor, in its sole and absolute discretion, to sublicense its rights, and that the Sponsor may use the Video entry or any modified or edited versions thereof in whole or in part for commercial or noncommercial purposes.

All intellectual property used by the Sponsor in connection with the Contest, the promotion and/or administration of the Contest, including, without limitation, all trademarks, trade names, logos, designs, promotional materials, web pages, source code, drawings, illustrations, slogans and representations are owned (or licensed, as the case may be) by the Sponsor and/or its affiliates. All rights are reserved. Unauthorized copying or use of any such intellectual property without the express written consent of its owner is strictly prohibited.

Each entrant assumes full legal and financial responsibility for their Video entry and any materials, and contents related thereto, which includes any consequences arising from submitting and/or otherwise posting such materials and/or content on social media.

 

6. WINNER SELECTION

Odds of winning the Prize depends on the total number of eligible Contest entries received. 

The selection of a potential winner will take place at approximately 12:00 p.m. ET on March 31st, 2023 at the Sponsor’s offices located at 100 University  Avenue, Floor 5, Toronto, Ontario, M5J 1V6. Entrant(s) will be selected as a potential winner by one (1) judge chosen by the Sponsor reviewing the Video entries, based on the following criteria:

  • Choreography (34%): Video entry must demonstrate that the participant can learn new dance moves, choreography and styles.

  • Quality/Talent (33%): Video entry must demonstrate that the participant has a unique talent and passion for dance; and

  • Attitude (33%): Video entry must demonstrate that the participant has a willing, “can do” attitude, willing to learn, take direction and be excited for a new adventure.

 

The selected potential prize winner shall be referred to as a “Selected Participant”. Selected Participants will be contacted via e-mail or phone on or around March 31st, 2023. The Sponsor or its designated representative(s) will make a minimum of three (3) attempts to contact each Selected Participant. Selected Participants must respond to OLI within two (2) days from receipt of any call or e-mail from OLI’s notification.

If a Selected Participant cannot be contacted or fails to respond within the time period described above, or fails to: (i) provide satisfactory identity or eligibility documentation, if requested by the Sponsor, (ii) sign and return the Declaration and Release Form within the required time, or (iii) otherwise comply with these Rules, the applicable Prize will be forfeited and may be awarded to an alternate participant, in the manner described above, subject to disqualification in the same manner.

To be considered a confirmed winner (each a “Confirmed Winner”), a Selected Participant (or if the winner is a minor, their parent or legal guardian must have signed the Declaration and Release Form on the minor winner’s behalf) must have completed and signed a Declaration and Release Form (the “Declaration and Release Form”) which: (i) confirms compliance with these Rules and, in the event the Selected Participant is a Confirmed Winner, acknowledges acceptance of the Prize as awarded; (ii) agrees to release and indemnify the Released Parties from and against any and all claims, causes of action, demands, losses, injuries, damages, liabilities, expenses and costs (including, without limitation, reasonable legal fees and expenses), and obligations of any nature and kind whatsoever and howsoever arising, whether known or unknown, which now or hereafter exists, arising from or in connection with this Contest, participation in the Contest, the Video (including any third party claim of infringement of intellectual property rights) and any activity to the Contest or the Video, as well as the acceptance, use, misuse the Prize; (iii) grants to the Sponsor the license rights as more fully set out in Section 5 hereof. A fully completed and executed Declaration must be returned to OLI within seven (7) days of being notified.

 

7. PRIVACY

By entering this Contest, each entrant (and the entrant’s parent or legal guardian where the entrant is under the age of majority in their province of territory at the time of submitting a Video entry) expressly consents to the Sponsors, its agents and/or representatives, storing, sharing and using the personal information submitted at the time of entry for the purpose of administering the Contest, unless the entrant (and the entrant’s parent or legal guardian where the entrant is under the age of majority in their province or territory at the time of submitting a Video entry) agree otherwise. This section does not limit any other consent(s) that an individual may provide the Sponsor or others in relation to the collection, use and/or disclosure of their personal information.

 

 

8. INDEMNITY AND LIMITATION OF LIABILITY

By participating in the Contest, entrants agree to release, discharge, indemnify and hold harmless the Released Parties from and against any and all claims, causes of action, demands, loss, injury, damage or liability whatsoever which may arise or occur in connection with or as a result of: (a) the acceptance, possession, use or misuse of the Prize, (b) administration of the Contest or (c) participation in this Contest or any related activity.

To the fullest extent permitted by law, each participant agrees that the Released Parties will not be liable for: (i) any technical malfunction or other problems relating to the Sponsor’s Website or computer networks, on-line systems, servers, access providers, computer equipment or software; (ii) the failure of any Video to be received for any reason, including, but not limited to, technical problems or traffic congestion on the Internet or at any website; (iii) any injury or damage to an entrant’s or any other person’s computer or other device related to or resulting from participating in the Contest; and/or (iv) any combination of the above.  

PARTICIPANTS AGREE THAT THE RELEASED PARTIES HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS AGAINST, ANY LIABILITY FOR ANY AND ALL CLAIMS, CAUSES OF ACTION, DEMANDS, LIABILITIES, EXPENSES, COSTS, INJURIES, LOSSES OR DAMAGES OF ANY KIND ARISING FROM OR IN CONNECTION WITH PARTICIPATION IN THIS CONTEST OR ACCEPTANCE, USE, MISUSE OR POSSESSION OF THE PRIZE. Without limiting the foregoing, the Released Parties shall not be responsible for: (a) any incomplete or inaccurate information provided by participants; (b) the theft, destruction, loss or unauthorized access to, or alteration of, Videos; (c) printing, distribution, programming or production errors, and any other errors of any kind, whether human, mechanical, electronic or otherwise; (d) technical, pictorial, typographical or editorial errors or omissions contained herein or in other materials related to the Contest; (e) violation of any third party right(s), including without limitation any copyright, trade-mark, intellectual property, privacy, publicity, or other proprietary right in connection with the Contest; or (f) delays or other problems in the transmission of the Videos.

The Sponsor has no responsibility to any participant for the participant’s participation in the Contest. If there are any mistakes or technical issues in the processing of the contest entries or the operation of any matter relating to the Contest, or if any Videos or contest entries are lost, stolen, destroyed, incomplete, delayed or cannot be read, the Sponsor will not re-run the Contest or ask participants to re-submit their Contest Entries. The Sponsor is not responsible or liable for any problems or errors related to the Contest.

These obligations will survive indefinitely beyond the conclusion of the Contest.

9. GENERAL

  • (a) This Contest is subject to all applicable federal, provincial, territorial and municipal laws. Terms may become void where prohibited or otherwise restricted by law.
     

  • (b) To win a prize, a Selected Participant must meet all of the conditions and requirements set out in these Rules. If a Selected Participant and/or Confirmed Winner gives false information to the Sponsor, or interferes with the entry process or operation of the Contest, they may be disqualified from the Contest and may be required to return their prize.
     

  • (c) Subject only to the approval of the Régie with respect to residents of Québec, the Sponsor reserves the right to cancel, terminate, suspend or modify the Contest and these Rules, in whole or in part, at any time and without notice, obligation or liability to any entrants or third parties, for any reason, including if, in the Sponsor’s sole discretion, any factor interferes with the proper conduct of the Contest, as contemplated by these Rules. Without limiting the generality of the foregoing, if the Contest, or any part thereof, is not capable of running as planned for any reason which, in the sole discretion of the Sponsor, corrupts or affects the administration, security, fairness, integrity or proper conduct of the Contest, the Sponsor may terminate, modify or suspend the Contest, or any portion thereof, in its sole discretion. Any attempt to deliberately damage the Website or any website operated by the Sponsor or to undermine the legitimate operation of this Contest in any way (as determined by Sponsor in their sole and absolute discretion) is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserve the right to seek remedies and damages to the fullest extent permitted by law.
     

  • (d) By participating in the Contest, a participant agrees that the laws of the province of Ontario and the laws of Canada applicable therein will govern any and all disputes arising from, connected with or relating to the Contest or a prize, and that any and all related matters will be resolved before the courts of Ontario sitting in the City of Toronto, of which the participant irrevocably submits and attorns to the exclusive jurisdiction.

    FOR RESIDENTS OF QUÉBEC: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.
     

  • (e) To request the names of the Confirmed Winner, send an e-mail to contest@olishow.com with the following subject line: “Annual Showcase Contest”.
     

  • (f) In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures or other statements contained in any Contest-related information, the terms and conditions of these Rules shall prevail, govern and control. The Sponsor’s failure to enforce any provision of these Rules shall not constitute a waiver of that provision. The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. If any provision of the Rules is determined to be invalid or otherwise unenforceable, then the Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.
